Terms of Service

7AM Ticketing Platform

1. Agreement to Terms

1.1 Acceptance

By creating a 7AM account, creating an Organization on the 7AM platform ("Platform"), clicking any button indicating acceptance, or using our Services, you agree to be bound by these Terms of Service ("Agreement").

When you create an Organization, these Terms form a binding contract between that Organization ("Organization", "Merchant") and 7AM TICKETING LIMITED, a New Zealand registered company ("7AM", "we", "us", or "our").

If you do not agree to these Terms, do not create an account or use our Services.

1.2 Eligibility

To create an Organization, the person creating it must be at least 18 years old (or the age of legal majority in their jurisdiction) and have the legal capacity to enter into binding contracts. By creating an Organization, such person confirms they meet these requirements.

1.3 Authority to Bind

If the person creating the Organization does so on behalf of a company or other legal entity, such person represents and warrants that they have the authority to bind such entity to these terms. If operating as an individual or sole proprietor, such person is personally bound by this Agreement for their business activities.

1.4 Account Structure

The Platform operates with the following structure:

  • Individual users create personal 7AM accounts to access the Platform
  • Users with accounts may create one or more Organizations for event management
  • Organizations are the contracting party for paid services
  • This Agreement governs the relationship between 7AM and each Organization

1.5 Account Owner

The Account Owner is determined as follows:

  • For self-service registration: The person who initially creates the Organization
  • For assisted setup: The person designated by 7AM support during account creation
  • For partner/reseller creation: The person specified in the setup request

The Account Owner has full administrative rights and responsibilities:

  • Ultimate responsibility for the Organization's compliance with these Terms
  • Authority to designate additional administrators and users
  • Primary contact for billing and legal notices
  • Ability to transfer Account Owner status through account settings or support
  • Liability for all Organization activities until ownership is formally transferred

Where an Organization is created on behalf of another party (whether by 7AM support, partners, or third parties), the designated Account Owner must explicitly accept these Terms upon first login or within 30 days of account creation, whichever comes first.

All references to "you" or "your" in these Terms refer to the Organization and, where applicable, the Account Owner acting on its behalf.

2. Definitions

"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or would reasonably be considered confidential, including but not limited to trade secrets, customer lists, business plans, technical data, and pricing information.

"Customer Data" means all data, content, and information (including personal information) that the Organization or its authorized users input into the Services or that is collected through the Organization's use of the Services.

"Event Data" means information related to events created and managed through the Platform, including attendee information, ticket sales data, and event details.

"Services" means the web-based ticketing and event management platform provided by 7AM, including all associated features, functionalities, and support services.

"Organization" means the business entity, company, association, or individual operating in a business capacity that creates an account to use the Services for event management.

3. Services Provided

3.1 Service Scope

7AM provides access to a web-based ticketing and event management platform that includes:

  • Event creation and management tools
  • Ticketing and registration systems
  • Analytics and reporting features
  • Payment processing integration
  • Mobile applications and scanning tools
  • Other features as made available from time to time

3.2 Service Availability

The Services are provided as a hosted solution accessible at https://panel.7am.io. We commit to maintaining 99.5% platform availability measured monthly, excluding scheduled maintenance and force majeure events.

3.3 Platform Role

7AM acts solely as a software service provider. The Organization acknowledges and agrees that:

  • 7AM is not an event organizer, promoter, or producer
  • 7AM is not a payment processor or merchant of record
  • 7AM does not control or direct event operations
  • The Organization retains full responsibility for its events and compliance obligations

3.4 Beta Features

7AM may offer beta or pre-release features marked as "beta", "preview", or similar. These features are provided "as-is" without warranties and may be modified or discontinued at any time without notice.

4. Fees and Payment

4.1 Fee Structure

Organizations agree to pay fees according to their selected service plan as displayed during plan selection and available at https://panel.7am.io/pricing. Fees may include:

  • Transaction fees (percentage and/or fixed fee per ticket)
  • Subscription fees for premium features
  • Additional service fees as specified

4.2 Billing and Payment Terms

  • Fees are charged in the currency displayed at the time of purchase
  • All fees are exclusive of applicable taxes, which will be added where required
  • Organizations must maintain valid payment information on file
  • If currency conversion is required, exchange rates and any associated fees are determined by the payment processor
  • Fees may be collected via direct deduction or periodic invoicing based on technical capabilities

4.3 Payment Authorization

By providing a payment method, the Organization and its authorized representative represent and warrant that:

  • They are authorized to use the payment method provided
  • Such use is on behalf of and for the benefit of the Organization
  • The Organization is responsible for all charges regardless of the payment method used
  • The Organization will maintain current and accurate billing information

4.4 Non-Payment

7AM reserves the right to suspend or terminate access to the Services for non-payment. Outstanding fees remain due regardless of service suspension or termination.

5. Organization Obligations

5.1 Compliance and Legality

  • Comply with all applicable laws, regulations, and industry standards
  • Obtain all necessary licenses, permits, and insurance for its events
  • Ensure all events and content are lawful and do not infringe third-party rights
  • Maintain accurate and current Organization information

5.2 Prohibited Uses

  • Promote or conduct illegal activities or events
  • Sell counterfeit, stolen, or fraudulent tickets
  • Violate any third-party intellectual property rights
  • Create events that promote discrimination, harassment, or violence
  • Circumvent or manipulate fee structures
  • Misrepresent event details or organizer identity

5.3 Account Security

  • Maintaining the confidentiality of account credentials
  • All activities that occur under its account
  • Immediately notifying 7AM of any unauthorized use
  • Ensuring that all users accessing the Organization's account comply with these Terms

5.4 Payment Processing Responsibilities

As 7AM is not a payment processor, the Organization is solely responsible for:

  • Establishing and maintaining payment processing accounts
  • Configuring fraud prevention and security settings
  • Managing chargebacks, refunds, and payment disputes
  • Compliance with PCI-DSS and financial regulations
  • All financial transactions with ticket purchasers

5.5 Event Management

The Organization retains full responsibility for:

  • Event planning, execution, and fulfillment
  • Ticket pricing, terms, and conditions
  • Customer service and attendee communications
  • Health, safety, and security at events
  • Resolution of attendee disputes and complaints

6. Data Protection and Privacy

6.1 Data Ownership

  • The Organization retains all rights to its Event Data and Customer Data
  • 7AM has a limited license to process such data solely to provide the Services
  • Each party retains all rights to its respective Confidential Information

6.2 Data Processing

7AM may process Organization data for the following purposes:

  • Providing, maintaining, and improving the Services
  • Enabling features, applications, and integrations activated by the Organization
  • Providing customer support and technical assistance
  • Generating aggregated and anonymized analytics
  • Ensuring platform security and preventing fraud
  • Complying with legal obligations

When activating additional features, applications, or integrations (whether developed by 7AM or third parties), the Organization authorizes the data processing necessary for such functionality. Specific data usage for each feature will be described at the point of activation.

Use of identifiable Organization data for direct marketing purposes requires separate consent. Further details on data processing are available in our Privacy Policy.

6.3 Privacy Policy

Data processing activities are further governed by 7AM's Privacy Policy, available at https://7am.io/privacy, which forms part of this Agreement.

6.4 Data Breach Notification

In the event of a data breach that may impact Organization or Customer Data, 7AM will notify affected Organizations within 72 hours of becoming aware of the breach, to the extent permitted by law enforcement and security considerations.

7. Intellectual Property

7.1 Platform Ownership

7AM retains all rights, title, and interest in and to the Services, including all software, documentation, designs, and improvements. Nothing in this Agreement transfers ownership of 7AM's intellectual property to the Organization.

7.2 License Grant

Subject to compliance with this Agreement, 7AM grants the Organization a non-exclusive, non-transferable, revocable license to access and use the Services during the term of this Agreement.

7.3 Organization Content

The Organization retains ownership of all content it uploads to the Platform and grants 7AM a limited license to use such content solely as necessary to provide the Services.

8. Term and Termination

8.1 Term

This Agreement commences upon Organization creation and continues according to the subscription plan selected:

  • All plans automatically renew for successive periods of the same length unless cancelled
  • Cancellation must be initiated through the account settings before the renewal date
  • Specific notice periods and refund policies are displayed during plan selection and in account settings
  • Downgrades or plan changes take effect at the next renewal period unless otherwise specified

8.2 Termination for Breach

7AM may terminate this Agreement if the Organization materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.

The Organization's termination rights depend on the subscription type:

  • Monthly subscriptions may be cancelled as described in Section 8.1
  • Annual or fixed-term subscriptions continue for the paid term unless 7AM materially breaches the Agreement
  • Refund eligibility for early termination is specified in the plan terms at time of purchase

8.3 Suspension Rights

7AM may immediately suspend access to the Services if:

  • Required by law or court order
  • The Organization violates applicable laws or regulations
  • Continued use poses a security risk or threat to the Platform
  • Fees are overdue

8.4 Effect of Termination

Upon termination:

  • Access to the Services will be disabled
  • All accrued fees remain due and payable
  • Organizations in good standing may export their data within 30 days
  • Each party will return or destroy the other's Confidential Information

9. Warranties and Disclaimers

9.1 Mutual Warranties

Each party warrants that it has the legal power and authority to enter into this Agreement.

9.2 Service Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." 7AM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 7AM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 7AM'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE ORGANIZATION TO 7AM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10.2 Consequential Damages Waiver

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

10.3 Basis of Bargain

The limitations in this section reflect the allocation of risk between the parties and form an essential basis of the bargain between the parties.

11. Indemnification

11.1 Organization Indemnification

The Organization agrees to defend, indemnify, and hold harmless 7AM and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • The Organization's use of the Services
  • The Organization's events, including any injuries or damages
  • Violation of this Agreement or applicable laws
  • Infringement of third-party rights
  • Payment processing, tax, or regulatory compliance issues

11.2 Procedures

The indemnified party will promptly notify the indemnifying party of any claim and cooperate in the defense. The indemnifying party will have sole control over the defense and settlement of the claim.

12. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and not disclose it to third parties or use it except as necessary to perform under this Agreement. This obligation survives termination for three (3) years.

13. General Provisions

13.1 Governing Law

This Agreement is governed by the laws of New Zealand without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration under the rules of the New Zealand Dispute Resolution Centre (NZDRC) in Auckland, New Zealand.

13.3 Assignment

The Organization may not assign or transfer this Agreement without 7AM's prior written consent. 7AM may assign this Agreement in connection with a merger, acquisition, or sale of assets.

13.4 Entire Agreement

This Agreement, including the Privacy Policy and any supplemental terms for additional services, constitutes the entire agreement between the parties and supersedes all prior agreements.

13.5 Amendments

7AM may update these terms from time to time. Material changes will be notified via email or through the Platform. Continued use after notice constitutes acceptance.

13.6 Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.

13.7 Force Majeure

Neither party is liable for delays or failures due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.8 Business Use

The Organization acknowledges that it is acquiring the Services for business purposes and that consumer protection laws including the Consumer Guarantees Act 1993 do not apply.

13.9 Local Law Compliance

Organizations acknowledge that local consumer protection, data privacy, and tax laws may apply to their use of the Services. Where mandatory local laws provide greater protection than these Terms, such local laws prevail. Organizations are solely responsible for understanding and complying with local requirements including tax obligations, consumer rights, and data protection regulations.

13.10 Notices

Notices to Organizations will be sent to the email address associated with the Organization account.


By creating an Organization on the Platform, the person creating such Organization acknowledges that they have read, understood, and agree to bind the Organization to these Terms of Service.
